GENERAL TERMS AND CONDITIONS OF SERVICE

These General Terms and Conditions of Service, hereinafter referred to as the “Terms and Conditions,” define the conditions under which Sona Kumunts, a sole proprietor operating under the trade name Keyify, provides digital services to professional Clients.

1. Identification of the Service Provider

The Services are provided by:

Hereinafter referred to as “Keyify” or the “Service Provider.”

Keyify and the Client are hereinafter collectively referred to as the “Parties.”

2. Application of the Terms and Conditions

These Terms and Conditions constitute the contractual framework applicable to the Services provided by Keyify to its professional Clients.

They apply to all orders placed with Keyify, unless specific conditions have been expressly agreed upon in writing between the Parties.

The Client declares that they have read and accepted these Terms and Conditions before placing any order.

Acceptance of a quotation or commercial proposal, or payment of a deposit, implies full and unconditional acceptance of these Terms and Conditions.

Any specific conditions set out in a quotation, commercial proposal, or contract accepted by the Parties shall prevail over these Terms and Conditions in the event of any conflict.

Keyify may amend these Terms and Conditions. The version applicable to an order is the version accepted by the Client at the time the contract is entered into.

3. Definition of the Client

The “Client” refers to any natural or legal person, whether public or private, acting for purposes related to their professional, commercial, industrial, craft, liberal, associative, or institutional activity.

These Terms and Conditions are intended exclusively for business-to-business relationships.

4. Services Provided

Keyify’s expertise includes, but is not limited to, the following Services:

  • website design and development;

  • creation of showcase websites and e-commerce websites;

  • creation of professional presentations and pitch decks;

  • writing of content and articles optimized for search engines;

  • SEO strategy and support;

  • creation of visual identities;

  • social media management;

  • creation of social media content;

  • email marketing and newsletters;

  • digital strategy consulting and support.

This list of Services is not exhaustive.

The exact scope of each project is defined in the selected offer, quotation, commercial proposal, specifications, or written communications accepted by the Parties.

Any additional request or significant change to the initial scope may be subject to an additional quotation.

5. Quotations and Formation of the Contract

Any request for Services may be subject to a quotation or commercial proposal specifying, in particular:

  • the Client’s identity;

  • the nature and scope of the Services;

  • the price;

  • the payment terms;

  • the amount of the deposit;

  • the estimated timeframes;

  • the commitment period for subscription-based Services;

  • any specific conditions.

Unless otherwise stated, the quotation is valid for the period specified therein.

The order becomes final after:

  • written acceptance of the quotation or commercial proposal;

  • acceptance of these Terms and Conditions;

  • and receipt of the deposit where a deposit is required.

Keyify will begin the project only after receiving the deposit and all information, content, access credentials, and documents required to perform the Services.

Any additional request not included in the initial scope may be subject to an additional quotation.

6. Specifications and Communications Between the Parties

The scope of the project may be defined through:

  • specifications;

  • a quotation;

  • a commercial proposal;

  • a briefing form;

  • email communications;

  • professional messaging platforms;

  • meeting or call summaries.

Written elements accepted by the Parties may be used as a reference to determine the scope of the Services.

The Client is responsible for the accuracy and completeness of the information provided to Keyify.

7. Client Obligations

The Client agrees to:

  • provide accurate, complete, and up-to-date information;

  • provide the content, documents, access credentials, and other elements required for the project;

  • respond to Keyify’s requests within a reasonable timeframe;

  • comply with agreed validation deadlines;

  • carefully review content before final approval;

  • hold all necessary rights to the materials provided to Keyify;

  • pay all amounts due by the agreed deadlines.

The Client guarantees that they hold the necessary rights to all texts, photographs, videos, logos, databases, files, and other content provided.

Any error, delay, or malfunction resulting from incorrect, incomplete, or late information provided by the Client shall be the Client’s responsibility.

Any delay by the Client in providing materials or approvals may result in a corresponding delay to the project schedule.

8. Keyify’s Obligations

Keyify agrees to:

  • perform the Services with due care and professionalism;

  • comply with the scope agreed upon with the Client;

  • inform the Client of any significant difficulty that may affect the project;

  • maintain the confidentiality of information provided under the conditions set out in these Terms and Conditions.

Keyify is subject to an obligation of means and not an obligation to achieve a specific result, unless expressly agreed otherwise.

9. Prices

Prices are stated in euros.

The applicable VAT regime is specified on the quotation and invoice.

Costs related to third-party services or tools are not included unless otherwise stated, including:

  • domain names;

  • hosting;

  • licences;

  • software;

  • paid plugins or extensions;

  • stock image libraries;

  • fonts;

  • email marketing tools;

  • advertising tools;

  • subscriptions to external platforms.

Any additional cost required for the project that was not included in the initial price shall be subject to the Client’s approval.

10. Payment for One-Off Projects

Unless otherwise specified in the quotation:

  • a deposit of 50% of the total amount is required when the order is placed;

  • the remaining 50% balance is due before final delivery.

The project begins after receipt of the deposit.

Delivery of final files, transfer of the rights provided for in the contract and, where applicable, transfer of certain access credentials may be conditional upon full payment of all amounts due.

11. Monthly Subscriptions

Recurring Services, including SEO, social media management, and email marketing Services, are payable at the beginning of each month.

Unless otherwise stated in the quotation, subscriptions are subject to an initial minimum commitment period of 3 months.

At the end of this initial period, the subscription continues on a month-to-month basis.

The Client may request termination of the subscription at the end of a monthly period.

Any monthly period already started is payable in full.

Services not used or not performed due to the Client’s delay, failure to respond, or failure to provide the necessary materials are not automatically carried over to the following month.

12. Late Payment

Any late payment may result in the immediate suspension or postponement of ongoing Services until payment has been made in full.

Late-payment penalties applicable between businesses are those specified in the quotation and invoices, in accordance with applicable regulations.

A fixed compensation of €40 for recovery costs is automatically payable for each overdue invoice where the legal conditions are met.

Where the actual recovery costs incurred exceed this fixed amount, additional compensation may be requested upon proof of such costs.

Keyify also reserves the right to suspend any delivery, publication, transfer of files, or continuation of Services until all amounts due have been paid in full.

13. Performance Timeframes

Any timeframes provided are estimates unless a firm deadline has been expressly agreed upon in writing.

Timeframes begin once Keyify has received:

  • the required deposit;

  • the necessary information;

  • the necessary content;

  • the necessary access credentials;

  • and the requested approvals.

Any delay attributable to the Client will result in a corresponding adjustment to the project schedule.

Keyify shall not be held responsible for delays caused by:

  • the Client;

  • a third-party service provider;

  • an external platform;

  • a technical failure;

  • a significant change to the initial request;

  • or an event beyond its reasonable control.

14. Changes and Revisions

Unless otherwise stated in the offer or quotation, 2 rounds of revisions are included in one-off Services.

A round of revisions consists of a set of requests grouped together and submitted by the Client at the same time.

Revisions must remain within the initial scope of the project.

Any request that:

  • exceeds the number of included revision rounds;

  • adds new features;

  • substantially changes the initial project;

  • requests a new direction after approval;

  • or requires changes to an element that has already been approved

may be subject to additional charges.

Where an offer expressly provides for a different number of revision rounds, the conditions of that offer shall apply.

15. Urgent Services

A request requiring completion within a particularly short timeframe may be classified as an Urgent Service.

This may include requests that must be completed within 24 or 48 hours.

Subject to availability and acceptance by Keyify, a surcharge of 50% of the price may apply.

The surcharge will be communicated to the Client before the project begins.

16. Cancellation by the Client

If the Client cancels before the project begins, the conditions specified in the quotation shall apply.

If the Client cancels after the project has begun, all work actually completed remains payable.

The deposit already paid shall be applied to the amount corresponding to the work already completed.

If the value of the work completed exceeds the amount of the deposit, Keyify may invoice the difference.

For example, if 80% of the project has been completed at the time of cancellation, up to 80% of the total project price may be invoiced.

Work, research, preparation, meetings, creative work, writing, and any other tasks already performed shall be taken into account when determining the progress of the project.

17. Suspension or Termination by Keyify

In the event of a breach by the Client of their obligations, including:

  • non-payment;

  • prolonged failure to respond;

  • failure to provide essential materials;

  • abusive behaviour;

  • a request that is contrary to the law;

Keyify may suspend the project.

In the event of a serious or continuing breach, Keyify may terminate the contract after a formal notice remains without effect within the period specified therein.

All amounts corresponding to work already completed remain payable.

18. Website Creation

The Client is responsible for the content published on their website and for ensuring that it complies with the regulations applicable to their activity.

Unless otherwise stated, recurring costs related to:

  • domain names;

  • hosting;

  • licences;

  • plugins or extensions;

  • software;

  • external platforms

are not included in the website creation price.

Keyify cannot guarantee the permanent and uninterrupted operation of services provided by third parties.

After delivery, any work not included in a maintenance or support package may be subject to additional charges.

19. Search Engine Optimization and SEO Content

Keyify carries out the actions specified in the quotation to improve the quality and visibility of content.

The Client acknowledges that search engine optimization depends on many external factors, including:

  • search engines;

  • algorithms;

  • competition;

  • the age of the website;

  • domain authority;

  • market developments.

Keyify does not guarantee:

  • any specific ranking in search results;

  • any specific level of traffic;

  • any specific timeframe for obtaining results;

  • any specific number of leads;

  • any specific level of revenue.

20. Social Media

Keyify performs the actions specified in the offer or quotation.

Performance depends in particular on:

  • platform algorithms;

  • the Client’s industry;

  • competition;

  • the quality of available content;

  • audience behaviour;

  • any advertising budgets.

Keyify does not guarantee any specific number of followers, views, interactions, leads, or sales.

21. Email Marketing and Newsletters

The Client is responsible for the legality and quality of their contact database.

The Client guarantees that they have an appropriate legal basis for contacting the recipients of their campaigns.

Keyify shall not be responsible for:

  • the origin of contact lists provided by the Client;

  • the quality of email addresses;

  • delivery rates that depend on third-party platforms;

  • the consequences of any unlawful use of a database provided by the Client.

No specific open rate, click-through rate, conversion rate, or level of revenue is guaranteed.

22. Intellectual Property

Unless otherwise provided for in the quotation, the rights expressly provided for in the contract relating to the final creations are transferred to the Client after full payment of all amounts due.

Depending on the nature of the Services, the transfer may include:

  • the right of reproduction;

  • the right of representation;

  • the right of distribution;

  • the right of adaptation and modification.

The exact scope of the transferred rights may be specified in the quotation or contract.

Any pre-existing tools, methods, know-how, templates, structures, processes, and resources used by Keyify remain its property.

Third-party materials remain subject to their own licences and terms of use.

23. References and Portfolio

Unless the Client objects in writing or a confidentiality obligation applies, the Client authorizes Keyify to mention:

  • their trade name;

  • their logo;

  • the nature of the project completed.

Keyify may present completed work in:

  • its portfolio;

  • its website;

  • its social media accounts;

  • its commercial presentations;

  • its communication materials.

The Client’s confidential information will not be published without authorization.

24. Subcontracting

Keyify is authorized to subcontract all or part of the Services to specialized professionals.

Keyify remains the Client’s primary point of contact.

Subcontractors may work in areas including design, development, writing, content creation, or any other expertise required for the project.

25. Non-Solicitation of Subcontractors

The Client agrees not to directly recruit or solicit, with the intention of circumventing Keyify, any subcontractor or partner introduced to the Client in connection with a project.

This obligation applies for the duration of the project and for a period of 12 months after its completion.

Any exception requires Keyify’s prior written consent.

26. Confidentiality

Each Party agrees to keep confidential any non-public information received from the other Party in connection with the project.

Confidential information includes, in particular:

  • internal documents;

  • commercial data;

  • strategies;

  • access credentials;

  • passwords;

  • financial information;

  • projects that have not yet been made public.

This obligation continues throughout the project and for a period of 2 years after its completion.

It does not apply to information that is already public or whose disclosure is required by law.

27. Liability

Keyify is subject to an obligation of means.

Keyify shall not be held responsible for damage resulting from:

  • incorrect information provided by the Client;

  • an error or delay attributable to the Client;

  • a failure or modification of a third-party service;

  • a cyberattack not resulting from any fault on the part of Keyify;

  • changes made to the work by the Client or a third party after delivery;

  • improper use of the deliverables.

Except in cases of gross negligence, wilful misconduct, or where otherwise required by mandatory law, Keyify’s total liability in connection with a project shall be limited to the amount excluding taxes actually paid by the Client for the Service directly giving rise to the damage.

Keyify shall not be liable for indirect losses, including loss of revenue, profits, business opportunities, or reputation.

28. Force Majeure

Neither Party shall be held liable for a failure to perform its obligations resulting from an event of force majeure recognized under applicable law.

The affected Party shall inform the other Party as soon as reasonably possible.

If the situation continues for more than 60 days and permanently prevents the performance of the project, either Party may request termination of the contract.

Services already performed remain payable.

29. Personal Data

Personal data is processed in accordance with the Privacy Policy available on the Keyify website.

30. Amicable Settlement of Disputes

In the event of a difficulty or dispute, the Parties agree to attempt to find an amicable solution before initiating legal proceedings.

The Party wishing to raise a dispute shall send a written complaint to the other Party explaining the nature of the issue.

31. Governing Law and Jurisdiction

These Terms and Conditions are governed by French law.

In the event of a dispute, the Parties shall first attempt to find an amicable solution.

If no amicable solution can be reached, the dispute shall be submitted to the competent courts in accordance with the rules applicable to business-to-business relationships.

32. Final Provisions

If any provision of these Terms and Conditions is declared invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Keyify’s failure to immediately exercise any right provided for under these Terms and Conditions shall not constitute a waiver of that right.

The version applicable to an order is the version accepted by the Client at the time the contract is entered into.
